Terms of Service

1. Acceptance of Terms

By accessing or using Papyrus Doc ("Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service. These terms apply to all users, including those who access the Service via API.

2. Description of Service

Papyrus Doc provides an electronic document signing platform that allows users to upload documents, add signature fields, send documents to recipients for signing, and maintain audit trails of all signing activity. The Service includes reusable document templates, direct signing links, embedded signing for third-party websites, webhook integrations, and team collaboration features. The Service is available through a web interface and a REST API.

3. Account Registration

  • You must provide accurate and complete information when creating an account.
  • You are responsible for maintaining the security of your account credentials and API keys.
  • You must notify us immediately of any unauthorized use of your account.
  • You must be at least 18 years old to create an account.

4. Acceptable Use

You agree not to use the Service to:

  • Upload, transmit, or distribute any content that is unlawful, harmful, or fraudulent.
  • Impersonate any person or entity, or falsely state or misrepresent your affiliation.
  • Interfere with or disrupt the Service or servers connected to the Service.
  • Attempt to gain unauthorized access to other users' accounts or data.
  • Use the Service for any purpose that violates applicable laws or regulations.
  • Exceed rate limits or abuse the API in a manner that degrades service for other users.
  • Configure webhook endpoints or embedded signing integrations without ensuring adequate security measures are in place to protect transmitted data.

5. Subscriptions & Billing

  • Paid plans are billed in advance on a monthly or annual basis.
  • You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.
  • No refunds are provided for partial billing periods, except as required by applicable law.
  • We reserve the right to modify pricing with 30 days' advance notice.
  • The free plan is subject to usage limits as described on our pricing page.

6. Your Content

You retain all rights to the documents and content you upload to Papyrus Doc. By using the Service, you grant us a limited license to store, process, and transmit your content solely for the purpose of providing the Service. This includes creating copies of documents as part of normal signing operations, such as finalized signed copies and completion distribution. We do not access, review, or use your documents for any other purpose.

7. Electronic Signatures

Papyrus Doc facilitates the creation and exchange of electronic signatures. While we design our Service to comply with applicable electronic signature laws (including ESIGN and UETA), it is your responsibility to determine whether electronic signatures are legally sufficient for your specific use case. We are not a law firm and do not provide legal advice.

8. Webhooks & Integrations

When you configure webhooks, document event data (including recipient names, email addresses, and signing status) is transmitted to the endpoint URLs you specify. You are solely responsible for the security of your webhook endpoints and for ensuring that the data received is handled in compliance with applicable privacy and data protection laws.

When you enable embedded signing or direct links, signing experiences may be rendered within third-party websites or accessed via publicly shareable URLs. You are responsible for ensuring these integrations are configured appropriately for your use case and that recipients are informed of the signing context.

9. API Usage

  • API access tokens are credentials equivalent to your account login. You must keep them secure and never share them in client-side code or public repositories.
  • You are responsible for all activity that occurs through your API tokens.
  • We may revoke API tokens that are compromised or used in violation of these terms.
  • API usage is subject to rate limits. Sustained abuse may result in temporary or permanent restriction of API access.

10. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. We may temporarily suspend access for maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to provide advance notice of planned downtime.

11. Limitation of Liability

To the maximum extent permitted by law, Papyrus Doc shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly. Our total liability for any claim arising from these terms or the Service shall not exceed the amount you paid us in the twelve months preceding the claim.

12. Termination

We may suspend or terminate your access to the Service if you violate these terms or engage in activity that harms other users or the Service. Upon termination, your right to use the Service ceases immediately. Your documents and audit trails will remain accessible for a reasonable period to allow you to export your data.

13. Changes to Terms

We may update these terms from time to time. We will notify you of material changes by email or through a notice on the Service at least 30 days before they take effect. Continued use of the Service after changes constitutes acceptance.

14. Governing Law

These terms are governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of law provisions. Any disputes arising from these terms or the Service shall be resolved through good-faith negotiation before pursuing formal legal proceedings. If litigation is necessary, you agree to submit to the exclusive jurisdiction of the state and federal courts located in the State of Washington.
